DCHS contract terminology

This list of contract terminology is supplemental to the DCHS Contracting Overview for Contractors Training. These terms are often used in DCHS Contracts and during the DCHS contracting process.

Additional Insured Endorsement

A legally binding insurance document required by DCHS for contracting and submitted by the Contractor or its insurer or insurance broker verifying that the Contractor’s insurance coverage extends to the person or entity named as the “additional insured.” For all King County contracts, Contractors are required to also submit an Additional Insured Endorsement naming King County as an Additional Insured.

Amendment

A legal written document used to modify an existing Contract by adding, subtracting, or substituting terms. An amendment is the formal mechanism for legally changing a Contract after it has been executed.

Certificate of Insurance (COI)

Certificate submitted to DCHS by the Contractor or its insurer or insurance broker verifying the Contractor’s types and limits of insurance coverage, which must comply with the insurance requirements of the contract.

Contract

A written agreement between parties, creating mutual obligations that are enforceable by law. Forms of Contracts may include but are not limited to Memoranda of Agreement (MOA), Memoranda of Understanding (MOU), letters of Agreement (LOA), and a package containing DCHS Standard Terms and Conditions and a Statement of Work (and sometimes Exhibits).

Contract Manager

Main DCHS point of contact for the Contractor. Contract Manager negotiates the terms and conditions in contracts and ensures compliance with the terms and conditions, as well as documents changes that may arise during the term of the contract.

Contractor

An individual or business entity that enters into a formal agreement with the County to provide services or perform work specified in a DCHS Community Grant. Contractors operate independently and are responsible for delivering agreed-upon results within the scope, schedule, and budget outlined in the contract. Contractors are sometimes referred to as a “Provider,” “Contracted Provider,” or “Grantee.”

Doing Business As (DBA)

The name that an organization uses in its day-to-day operations (this is a name different from the organization’s legal name).

Execute/Execution/Executed

Upon signature from both parties, the contract is official and binding.

Fiscal Sponsor

An organization that agrees to accept and manage funds and administrative activities on behalf of a fiscally sponsored project that may not meet the eligibility standards and minimum requirements to be a DCHS Contractor.

Independent Contractor

A self-employed individual or entity that provides specialized or discrete services and is engaged through a service agreement, not a Subcontract.

Service Period

The period of time during which the Contractor shall be paid, funded, or reimbursed according to the terms and conditions of the Contract.

Standard Terms and Conditions

The “boilerplate” or standard requirements for a Contract. The Standard Terms and Conditions state the expectations for how the Contractor manages finances, risks, personnel, etc. for the work to succeed.

Statement of Work

A specific description of the work to be performed under the contract. This description may include tasks, deliverables, schedule, time and place of services, and performance requirements related to your program, project, and/or activity. This may sometimes be referred to as an “Exhibit.”

Subcontract

Any agreement between the Contractor and a Subcontractor or between Subcontractors that is based on the primary DCHS Contract, not including the purchase of (1) services not related to the subject matter of the primary DCHS Contract, or (2) supplies.

Subcontractor

An entity that signs a contract with the primary DCHS Contractor to perform a portion of the work required under the primary DCHS Contractor’s agreement with DCHS.

Vendor

An entity that provides standardized goods or routine services at set prices and does not perform any portion of the primary DCHS Contractor’s agreement with DCHS.
